Welcome to the Sharp Performance website (the “Site”), operated by Sharp Performance USA Inc. (“we,” “us,” or “Sharp Performance”). By accessing or using this Site, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Site.

1. Business-to-Business Sales Only

Sharp Performance is a business-to-business (B2B) manufacturer and does not sell to individual consumers. We do not accept retail orders or orders from the general public. All sales are made exclusively to businesses, organizations, resellers, and institutions in bulk quantities only.

This website is provided solely as a resource for qualified business customers. Individuals browsing the Site for personal use are not able to place orders. All orders must be submitted on a company Purchase Order and will be reviewed and approved by Sharp Performance.

2. Website Accessibility

3. AI-Generated Content & Information Accuracy

All information on this Site, including but not limited to pricing, shipping policies, product descriptions, availability, promotions, and terms of sale, is provided for informational purposes only and is subject to change without notice.

Third-party AI tools and search engines (such as Google AI Overviews, ChatGPT, Grok, Perplexity, and others) may scrape, summarize, or generate outputs based on our content. These tools frequently mix information from multiple sources and can produce inaccurate, incomplete, or false information.  For example, incorrectly stating that we offer free shipping, retail purchasing options, or consumer-facing services that we do not provide.

We are not responsible for any errors, omissions, or misrepresentations in any AI-generated summaries or outputs. You should always verify all details directly on our official website and contact us before placing an order. Reliance on any AI-generated content is at your own risk.

4. Ordering, Shipping, Returns & Product Policies

All orders and purchases are subject to the following policies (which are incorporated into these Terms):

Ordering Information

  • All orders must include a company Purchase Order (P.O.) number.
  • We do not accept orders from individuals or for personal/retail use, and this is not a retail site that accepts orders.
  • All orders will be acknowledged by phone, fax, or in writing and assigned a Sharp Performance item number.
  • Rush orders may incur additional charges if accepted.
  • Changes or cancellations may be subject to a $35 cancellation fee plus any costs already incurred.
  • Returns require a Returned Goods Authorization (RGA) number and must be requested within 30 days of the invoice date.
  • Reorders (exact same items) within two years have no mold/tooling charges.
  • Samples, catalogs, and quotations are governed by our published policies.
  • Licensed items require proper authorization documentation.

Product Information

  • All products are custom-made. Logos and trademarks shown are for illustration purposes only. We assume our customers are authorized to use any submitted designs. Sharp Performance assumes no liability for trademark or copyright disputes.
  • Orders are subject to a 10% over-run or under-run.
  • Molds and tooling remain the property of Sharp Performance.
  • All items are individually poly-bagged unless otherwise specified.
  • Country of origin marking is applied as required by law.

Shipping

All orders are shipped Fedex Ground unless other arrangements are made. All shipments are FOB Irwindale, CA. Split shipping is available at $10 per address plus applicable Fedex charges.

General

All prices, specifications, and terms are subject to change without notice. All orders are subject to approval by Sharp Performance. We reserve the right to refuse any order. We are not responsible for typographical errors. We reserve the right to use any product we produce in our catalog and advertising unless you specifically request otherwise in writing at the time of order.

5. Intellectual Property

All content on this Site, including text, images, logos, product designs, catalogs, and graphics, is the property of Sharp Performance or used with permission and protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, modify, distribute, or create derivative works from any Site content without our prior written permission. Logos and trademarks displayed on the Site are shown only to demonstrate our imprinting capabilities and are not advertisements.

6. Prohibited Uses

You agree not to:

  • Use any robot, spider, scraper, automated tool, or AI system to access, monitor, scrape, extract, summarize, or reproduce any part of the Site without our express written permission.
  • Use our content to train, fine-tune, or query any artificial intelligence models.
  • Attempt to gain unauthorized access to any portion of the Site.
  • Use the Site for any unlawful purpose or in violation of any applicable laws.

7. Limitation of Liability

To the fullest extent permitted by law, Sharp Performance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to: (a) your use of the Site; (b) any inaccuracies in AI-generated summaries or third-party search results; (c) any reliance on information obtained from the Site or from AI tools; or (d) any products or services purchased through the Site.

Our total liability to you for any claim shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold Sharp Performance harmless from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from your violation of these Terms, your misuse of the Site, or your submission of unauthorized logos or designs.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any disputes arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.

10. Changes to These Terms

We may update these Terms at any time. Continued use of the Site after changes constitutes your acceptance of the new Terms. We encourage you to review this page periodically.

11. Miscellaneous

  • These Terms constitute the entire agreement between you and Sharp Performance regarding the Site.
  • If any provision is found invalid, the remaining provisions remain in full force.
  • Our failure to enforce any right does not waive that right.
  • All orders are subject to final approval by Sharp Performance.
